By accessing or using Black River Industries, LLC ("Black River," "we," "our," or "us") services, including our website, shipping label services, and fulfillment services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Black River provides the following services:

• Shipping label generation and postage services
• Third-party logistics (3PL) fulfillment services
• Warehousing and inventory management
• Package drop-off services
• Package pickup services

All services are subject to availability and may be modified or discontinued at any time with reasonable notice.

When using our services, you agree to:

• Provide accurate and complete information for all shipments
• Comply with all applicable shipping laws and regulations
• Not ship prohibited or restricted items as defined by carriers and law
• Maintain the confidentiality of your account credentials
• Pay all fees and charges associated with your use of our services
• Ensure proper packaging to protect contents during transit

All fees are due at the time of service unless otherwise agreed in writing. Prices are subject to change with notice. We accept major credit cards and other payment methods as displayed during checkout.

For fulfillment services, billing is typically based on orders processed, storage used, and additional services rendered, as outlined in your service agreement.

Shipments are subject to the terms and conditions of the carrier (USPS, UPS, FedEx, etc.) selected for delivery. Black River acts as an intermediary and is not liable for carrier delays, lost packages, or damages that are the responsibility of the carrier.

Claims for lost or damaged shipments must be filed with the appropriate carrier according to their policies and timelines.

To the maximum extent permitted by law, Black River shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

You agree to indemnify and hold harmless Black River, its officers, employees, and agents from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your violation of any third-party rights.

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Your continued use of our services after any changes constitutes acceptance of the new terms.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in La Crosse County, Wisconsin.
